1 भारतमा व्यवसाय सुरु गर्ने

व्यावसायिक उद्यम एउटा आर्थिक संस्था हो जुन नाफा कमाउन र सम्पत्ति प्राप्त गर्नका लागि वस्तु र सेवाहरूको उत्पादन र/ वा वितरणमा संलग्न रहेको छ. यसमा धेरै गतिविधिहरू सामेल हुन्छन् जुन मोटामोटी दुई वर्गमा वर्गीकृत गर्न सकिन्छ ती हुन् उद्योग र वाणिज्यमा. प्रत्येक उद्यमीको उद्देश्य व्यवसाय सुरू गर्नु र यसलाई सफल उद्यमको रूपमा विकास गर्नु हो.

 

the उद्योग निदेशालयहरू विभिन्न राज्यहरूमा नोडल एजेन्सीहरू हुन् जसले नयाँ उद्यमीहरूलाई सम्बन्धित राज्यमा औद्योगिक एकाइ सुरु गर्न मद्दत र मार्गदर्शन गर्दछ. तिनीहरूले उद्योग इनपुटहरूको लागि उद्योग र अन्य एजेन्सीहरू बीच एक इन्टरफेस प्रदान गर्दछ र उद्यमीहरूलाई एकल बिन्दुमा विभिन्न विभागहरूबाट विभिन्न औद्योगिक स्वीकृतिहरू र क्लियरेन्सहरू प्राप्त गर्न सक्षम बनाउँदछ - एकल विन्डो.

2 व्यवसायलाई वित्तपोषण गर्ने

Business finance refers to the funds and monetary support required by an entrepreneur for carrying out the various activities relating to his/ her business organization. It is needed at every stage of a business life cycle. Though the amount of the capital needed by an enterprise depends upon the nature and size of the business, but its timely and adequate supply is indispensable for any form of industrial set up (whether small, medium or large). The financial system in India can be categorized into money market and capital market. For regulating the operations of money market, the Reserve Bank of India (RBI) is the supreme authority, whereas the Securities and Exchange Board of India (SEBI) supervises the functioning of the capital market.

प्रणालीमा रहेका मुख्य भागहरू जसको माध्यमबाट एउटा उद्यमीले निजको लागि पैसा उठाउन सक्छ: -

a) Venture Capital: Venture Capital is an important source of finance for those small and medium-sized firms Venture capitalists comprise of professionals of various fields. They provide funds (known as Venture Capital Fund) to these firms after scrutinizing the projects.

b) Banks: A bank is an institution that accepts deposits of money from the public, which are repayable on demand and withdrawable by cheque. Such deposits are used for lending to others and not for financing its own business of any kind. The term lending includes both direct lending to borrowers and indirect lending through investment in open market securities. 

c) Government Schemes: An entrepreneur requires a continuous flow of funds not only for setting up of his/ her business, but also for successful operation as well as regular upgradation/ modernization of the industrial unit. To meet this requirement, the Government (both at the Central and State level) has been undertaking several steps like setting up of banks and financial institutions; formulating various policies and schemes, etc. All such measures are specifically focused towards the promotion and development of small and medium enterprises

d) Non-Banking Financial Companies: Non-banking financial companies (NBFCs) are fast emerging as an important segment of Indian financial system. It is an heterogeneous group of institutions (other than commercial and co-operative banks) performing financial intermediation in a variety of ways, like accepting deposits, making loans and advances, leasing, hire purchase, etc. They raise funds from the public, directly or indirectly, and lend them to ultimate spenders. 

e) Financial Institutions: The Government of India, in order to provide adequate supply of credit to various sectors of the economy, has evolved a well-developed structure of financial institutions in the country. These financial institutions can be broadly categorized into All India institutions and State level institutions, depending upon the geographical coverage of their operations. At the national level, they provide long and medium term loans at reasonable rates of interest. 

3 व्यवसायका लागि लागि ध्यान दिनुपर्ने कानूनहरू

कानूनी पक्ष कुनै पनि देशमा एउटा सफल व्यावसायिक वातावरणको अनिवार्य हिस्सा हो. उनीहरुले नीति फ्रेमवर्क तथा त्यस देशको सरकारी ढाँचा सम्बन्धी मनसाय प्रतित गर्छन्. भारतमा कम्पनीसम्बन्धी सम्पूर्ण पक्षहरुको नियमन गर्ने सबै भन्दा महत्वपूर्ण कानून भनेको कम्पनी ऐन, 1956 हो. यसमा कम्पनीको गठन, निर्देशक र व्यवस्थापकको अधिकार र जिम्मेवारी, पूँजी जुटाउने, कम्पनीको बैठक राख्ने, कम्पनी खाताको मर्मत र लेखा परीक्षण गर्ने, कम्पनी मामिलाहरूको निरीक्षण गर्ने र अनुसन्धान गर्ने अधिकार, कम्पनीको पुनर्निर्माण र एकीकरण र एक कम्पनीको वाइन्डिंग सम्बन्धी पनि प्रावधान समावेश छ.

भारतीय सम्झौता ऐन, 1872, अर्को कानून हो जसले कम्पनीका सम्पूर्ण कारोबारहरुको नियमन गर्दछ. यसमा सम्झौताहरूको गठन र कार्यान्वयन सम्बन्धी सामान्य सिद्धान्तहरू पर्दछन्; सम्झौता र प्रस्तावको प्रावधानहरूको सञ्चालन गरिरहेको नियमहरू; क्षतिपूर्ति र ग्यारेण्टी, जमानत र प्रतिज्ञा र एजेन्सीहरू सहितको विभिन्न प्रकारका सम्झौताहरू. यसमा सम्झौताको उल्लङ्घनसँग सम्बन्धित प्रावधानहरू पनि पर्दछन्.

The other major legislations are:- the Industries (Development and Regulation) Act 1951; Trade Unions Act; the Competition Act, 2002; the Arbitration and Conciliation Act, 1996; the Foreign Exchange Management Act (FEMA),1999; laws relating to intellectual property rights; as well as laws relating to labour welfare.

4 भारतमा व्यवसायको कर व्यवस्था


भारतको सुविकसित कर संरचना छ. कर र भन्सार शुल्क लगाउने अधिकारलाई भारतीय संविधानको प्रावधान अनुसार सरकारको तीन तहमा वितरित गरिएको छ. संघीय सरकारले लगाउन सक्ने मुख्य कर/अन्तःशुल्क निम्नानुसार रहेका छन्: -

a) आय कर (कृषि आयमा कर लगाउन बाहेक, जहाँ राज्य सरकारले कर लगाउन सक्दछ)

b) सीमा भन्सार शुल्क, केन्द्रीय उत्पादन शुल्क र बिक्री कर र

c) सेवा कर

प्रान्तीय सरकारले उठाउने मूल करहरू निम्न प्रकारका छन्: -

a) बिक्री कर (सामानहरू प्रान्तभित्र बिक्री गर्दा तिर्नुपर्ने कर),

b)स्ट्याम्प ड्युटी (सम्पत्ति स्थानान्तरण कर्तव्य),

c) राज्य उत्पादन शुल्क (अल्कोहल उत्पादन दायित्व),

d) भुमी राजस्व (कृषि/गैर-कृषि प्रयोजनका लागि प्रयोग हुने लेभी),

e) मनोरन्जन सम्बन्धी कर्तव्य र प्रोफेसन तथा कलिंगको कर.

 

स्थानीय निकायहरूलाई कर उठाउने अधिकार छ: -

a) सम्पत्ति कर (भवन, आदि),

b) अक्ट्रोई (स्थानीय निकायको क्षेत्रभित्र प्रयोग/उपभोगका लागि वस्तुको प्रवेशमा कर),

c) बजार कर र

घ) पानी आपूर्ति / ढल निकास आदि जस्ता सुविधाहरूको लागि कर/प्रयोगकर्ता शुल्कहरू.
